The Provider must notify the Company of any changes to Data Protection Legislation

1.1.The Provider shall immediately notify the Company where the Provider is aware that the Company’s Processing instructions infringe the Data Protection Legislation. The Provider must promptly notify the Company of any changes to Data Protection Legislation that may adversely affect the Provider's performance of the Existing Agreement.

Confidentiality, need-to-know, training

1.1.The Provider shall ensure that:
1.2.any persons it authorises to Process Personal Data (including employees, agents, representatives, and subcontractors) (“Authorised Persons”) are subject to a strict duty of confidentiality;
1.3.only Authorised Persons Process Personal Data on a need-to-know basis and only for the Permitted Purpose; and
1.4.Authorised Persons receive regular data protection training.

The provider can only process data as instructed by the company, unless required by law

1.1.The Provider shall only Process Personal Data as a Processor in accordance with the written instructions of the Company as set out in Part I of this DPA, or as otherwise provided to perform the necessary services described in the Existing Agreement (“Permitted Purpose”), unless otherwise required by law, in such case, the Provider shall inform the Company of that legal requirement before Processing.

Confidentiality and disclosure

1.1.The Provider shall maintain the confidentiality of all Personal Data and will not disclose Personal Data to third parties unless the Company specifically authorises the disclosure, or as required by law. If a court, regulator or Supervisory Authority requires the Provider to Process or disclose Personal Data, the Provider must first inform the Company and give the Company an opportunity to object or challenge the requirement, unless the law prohibits such notification.
