Disclosures authorized by law

1.1.The restriction in paragraph 6.1 does not apply to:
1.2.any use or disclosure authorised by the Company or as required by law; or
1.3.any information which is already in, or comes into, the public domain otherwise than through your unauthorised disclosure.

Confidential information protection

1.1.The Consultant shall not (except in the proper course of their duties), either during the Engagement or at any time after the Termination Date, use or disclose to any third party (and shall use their best endeavours to prevent the publication or disclosure of) any Confidential Information. This restriction does not apply to:
1.2.any use or disclosure authorised by the Client or required by law; or
1.3.any information which is already in, or comes into, the public domain otherwise than through the Consultant's unauthorised disclosure.

Confidential information must not be disclosed, except in certain circumstances

1.1.The Employee shall not (except in the proper course of their duties), either during the Employment or at any time after the Termination Date, use or disclose or communicate to any person, Company or other organisation whatsoever (and shall use their best endeavours to prevent the publication or disclosure of) any Confidential Information. This shall not apply to:
1.2.any use or disclosure authorised by the Company or required by law; or
1.3.any protected disclosure within the meaning of section 43A of the Employment Rights Act 1996.

Confidential information must be kept secret

1.1.The Advisor shall keep secret and shall not at any time either during this agreement, or after its termination, for whatever reason, use communicate or reveal to any person for their or their own or another's benefit, any secret or confidential or commercially sensitive information either in whole or in part concerning the business, finances or organisation of the Company or any other Group Companys, its or their suppliers or customers which shall have come to the Advisor's knowledge during the course of this agreement. The Advisor shall also use their reasonable endeavours to prevent the publication or disclosure of any such information.

Do not share company secrets

1.1.You shall not use or disclose to any person either during or at any time after your engagement by the Company any confidential information about the business or affairs of the Company or any of its business contacts, or about any other confidential matters which may come to your knowledge in the course of providing the Services. For the purposes of this paragraph 6, confidential information means any information or matter which is not in the public domain and which relates to the affairs of the Company or any of its business contacts.
